End User License Agreement

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("User" or "you") and Pinspree LLC ("Company," "we," "us," or "our") for use of the PinSpree mobile application ("App").

By downloading, installing, or using the App, you agree to be bound by this Agreement.

If you do not agree to this Agreement, do not download, install, or use the App.

1. License Grant

Subject to your compliance with this Agreement, Pinspree LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Download and install the App on mobile devices that you own or control
  • Use the App for your personal, non-commercial purposes

This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time.

2. License Restrictions

You agree NOT to:

  • Copy, modify, or distribute the App
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
  • Rent, lease, lend, sell, sublicense, or transfer the App to any third party
  • Remove, alter, or obscure any proprietary notices on the App
  • Use the App for any illegal purpose or in violation of any applicable law
  • Use the App in any way that could damage, disable, overburden, or impair the App
  • Attempt to gain unauthorized access to any services, accounts, or systems connected to the App
  • Use any robot, spider, or other automated device to access the App
  • Create derivative works based on the App

3. Intellectual Property

The App and all content, features, and functionality are owned by Pinspree LLC, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

3.1 Ownership

Pinspree LLC retains all right, title, and interest in and to the App, including all intellectual property rights. This Agreement does not transfer any ownership rights to you.

3.2 Trademarks

"PinSpree," the PinSpree logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Pinspree LLC. You may not use such marks without prior written permission.

4. User Content

You retain ownership of content you create and share through the App ("User Content"). By submitting User Content, you grant Pinspree LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content in connection with the App.

You are solely responsible for your User Content and represent that it does not violate any third party's rights or applicable laws.

5. Privacy

Your use of the App is also governed by our Privacy Policy. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.

6. Third-Party Services

The App may display, include, or make available third-party content or provide links to third-party services. You acknowledge that Pinspree LLC is not responsible for examining or evaluating such third-party materials or services.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PINSPREE LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • QUIET ENJOYMENT
  • ACCURACY

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL PINSPREE LLC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES

TOTAL LIABILITY: In no event shall our total liability to you exceed the amount you have paid us in the twelve (12) months prior to the claim, or one hundred dollars ($100), whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless Pinspree LLC and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses arising from or relating to your use of the App, your User Content, or your violation of this Agreement.

10. Term and Termination

10.1 Term

This Agreement is effective until terminated by you or Pinspree LLC.

10.2 Termination by You

You may terminate this Agreement at any time by deleting the App and all copies from your devices.

10.3 Termination by Us

Pinspree LLC may terminate this Agreement at any time, with or without cause, with or without notice, effective immediately.

10.4 Effect of Termination

Upon termination:

  • All rights and licenses granted to you will immediately cease
  • You must stop all use of the App
  • You must delete all copies of the App from your devices
  • Sections 3, 7, 8, 9, and 12 survive termination

11. Export Compliance

You may not use or export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. You represent and warrant that you are not located in a country subject to U.S. government embargo and you are not on any U.S. government list of prohibited or restricted parties.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to this Agreement shall be resolved through binding arbitration in accordance with the JAMS Streamlined Arbitration Rules and Procedures.

CLASS ACTION WAIVER

YOU AND PINSPREE LLC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

13. Apple App Store Additional Terms

If you downloaded the App from the Apple App Store, the following additional terms apply:

13.1 Acknowledgement

You acknowledge that this Agreement is between you and Pinspree LLC only, not with Apple Inc. ("Apple"). Pinspree LLC, not Apple, is solely responsible for the App and its content.

13.2 Scope of License

The license granted to you is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by the App Store Terms of Service.

13.3 Maintenance and Support

Pinspree LLC is solely responsible for providing maintenance and support services for the App. Apple has no obligation to furnish any maintenance and support services.

13.4 Warranty

Pinspree LLC is solely responsible for any product warranties. In the event of any failure to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligation.

13.5 Product Claims

Pinspree LLC, not Apple, is responsible for addressing any claims relating to the App, including product liability claims, any claim that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.

13.6 Intellectual Property Claims

In the event of any third-party claim that the App infringes that third party's intellectual property rights, Pinspree LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

13.7 Third-Party Beneficiary

Apple and its subsidiaries are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, Apple will have the right to enforce this Agreement against you as a third-party beneficiary.

14. General Provisions

14.1 Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Pinspree LLC regarding the App.

14.2 Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term.

14.4 Assignment

You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement without restriction.

14.5 Modifications

We reserve the right to modify this Agreement at any time. Your continued use of the App after any modification constitutes acceptance.
