Welcome to PinSpree! These Terms of Service ("Terms") govern your use of the PinSpree mobile application ("App") operated by Pinspree LLC ("Company," "we," "us," or "our").

By accessing or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Acceptance of Terms

By creating an account or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the App on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the App and updating the "Last Updated" date. Your continued use of the App after changes constitutes acceptance of the modified Terms.

2. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent and warrant that:

  • You are at least 13 years of age
  • You have the legal capacity to enter into these Terms
  • Your use of the App does not violate any applicable law or regulation
  • All information you provide is accurate and truthful

If you are under 18, you represent that you have your parent's or guardian's permission to use the App.

3. User Accounts

3.1 Account Creation

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information as necessary
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access

3.2 Account Responsibilities

You are solely responsible for:

  • All activities that occur under your account
  • Maintaining the confidentiality of your login credentials
  • Any content you post or share through your account

3.3 One Account Per Person

You may only create and maintain one account. Creating multiple accounts may result in termination of all accounts.

4. User-Generated Content

4.1 Your Content

The App allows you to create, upload, and share content including pins, photos, descriptions, and other materials ("User Content"). You retain ownership of your User Content, but by posting it, you grant us the following license:

License Grant: You grant Pinspree LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content in connection with operating and improving the App.

This license allows us to:

  • Display your pins to other users
  • Promote the App using anonymized or attributed content
  • Create derivative works (such as thumbnails, previews)
  • Store and backup your content

4.2 Content Representations

By posting User Content, you represent and warrant that:

  • You own or have the necessary rights to the content
  • Your content does not infringe any third party's intellectual property or privacy rights
  • Your content complies with these Terms and all applicable laws
  • You have consent from any identifiable individuals in photos

4.3 Content Moderation

We reserve the right, but have no obligation, to:

  • Monitor User Content
  • Remove or disable access to any content at our sole discretion
  • Take action against accounts that violate these Terms

5. Prohibited Conduct

You agree NOT to:

5.1 Illegal Activities

  • Violate any applicable law, regulation, or third-party rights
  • Engage in fraud, money laundering, or other illegal activities
  • Post content that is illegal or promotes illegal activities

5.2 Harmful Content

  • Post content that is defamatory, obscene, pornographic, or sexually explicit
  • Post content that promotes violence, hatred, or discrimination
  • Harass, bully, stalk, or intimidate other users
  • Post content depicting or promoting harm to minors

5.3 Deceptive Practices

  • Impersonate any person or entity
  • Create misleading or false pins
  • Post spam, advertisements, or promotional content without authorization
  • Use fake locations or manipulate geolocation data

5.4 Security Violations

  • Attempt to gain unauthorized access to any part of the App
  • Interfere with or disrupt the App's infrastructure
  • Use bots, scrapers, or automated tools without permission
  • Reverse engineer, decompile, or disassemble the App
  • Introduce viruses, malware, or other harmful code

5.5 Other Prohibited Actions

  • Sell, transfer, or share your account
  • Collect user information without consent
  • Use the App for commercial purposes without authorization
  • Circumvent any content-filtering techniques

6. Intellectual Property

6.1 Our Intellectual Property

The App and its original content (excluding User Content), features, and functionality are owned by Pinspree LLC and are protected by copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, or distribute the App or its content
  • Use our trademarks, logos, or branding without written permission
  • Remove any copyright or proprietary notices

6.2 Feedback

If you provide suggestions, ideas, or feedback about the App ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose without compensation to you.

6.3 Copyright Complaints (DMCA)

If you believe content on the App infringes your copyright, please send a DMCA notice to: team@pinspree.com

Include:

  • Your contact information
  • Description of the copyrighted work
  • Location of the infringing content
  • Statement of good faith belief
  • Statement under penalty of perjury
  • Your signature

7. Third-Party Services

The App may integrate with or link to third-party services (e.g., maps, payment processors). These services are governed by their own terms and privacy policies. We are not responsible for third-party services and disclaim all liability for your use of them.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF CONTENT
  • UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that:

  • The App will meet your requirements
  • The App will be available at all times
  • Errors will be corrected
  • The App is free of viruses or harmful components
  • User Content is accurate, reliable, or appropriate

YOUR USE OF THE APP IS AT YOUR SOLE RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINSPREE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF:

  • The amount you paid us in the past 12 months, OR
  • One hundred dollars ($100)

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY.

10. Indemnification

You agree to indemnify, defend, and hold harmless Pinspree LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the App
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of any applicable law

11. Termination

11.1 By You

You may terminate your account at any time through the App settings or by contacting us at team@pinspree.com.

11.2 By Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You breach these Terms
  • You engage in prohibited conduct
  • We are required to do so by law
  • We discontinue the App

11.3 Effect of Termination

Upon termination:

  • Your right to use the App ceases immediately
  • We may delete your account and User Content
  • Sections 4.1 (license grant), 6, 8, 9, 10, and 12 survive termination

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at team@pinspree.com and attempt to resolve the dispute informally for at least 30 days.

12.2 Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

You and Pinspree LLC agree to resolve any disputes through binding individual arbitration rather than in court, except:

  • Small claims court actions
  • Injunctive relief for intellectual property violations

Arbitration will be conducted by JAMS under its Streamlined Arbitration Rules. The arbitration will be held in Delaware or another mutually agreed location.

12.3 Class Action Waiver

YOU AND PINSPREE LLC AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION.

12.4 Opt-Out

You may opt out of this arbitration agreement by sending written notice to team@pinspree.com within 30 days of first using the App.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and EULA, constitute the entire agreement between you and Pinspree LLC regarding the App.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our consent. We may assign our rights and obligations without restriction.
